Acceptance of Terms
By accessing or using NNS Pro and related services provided by BnC Software, LLC ("BnC", "we", "us", or "our"), you agree to these Terms of Use. If you do not agree, do not use the service.
Eligibility
You must be at least 13 years old to use NNS Pro. If you are under the age of majority in your jurisdiction, a parent or legal guardian must review and accept these terms on your behalf. Participation in the Chart Sharing Program requires users to be at least 16 years old. If paid features are offered, financial transactions require you to be at least 18 or to have legal guardian consent as required by law.
Account Registration and Security
You are responsible for maintaining accurate account information and safeguarding account credentials. You must promptly notify us of unauthorized account activity and remain responsible for actions performed through your account. You may not share credentials or create deceptive/fraudulent accounts, and BnC may suspend accounts with false or misleading registration information.
Description of Service
NNS Pro is a Nashville Numbering System charting and rehearsal support platform for musicians. Features are provided on an "as available" basis and may be modified, suspended, restricted, or discontinued by BnC at any time, including community and sharing features.
License to Use NNS Pro
Subject to these terms, BnC grants you a limited, revocable, non-exclusive, non-transferable license to use NNS Pro for personal and professional music workflows. No ownership rights are transferred to you. This license does not permit resale, sublicensing, reverse engineering, scraping, automated extraction, or creation of derivative products from proprietary service components without written authorization.
Prohibited Conduct
You may not use NNS Pro for unlawful activity; infringe intellectual property or privacy rights; reverse engineer or decompile service components; scrape or harvest data via bots/crawlers; distribute malware; bypass security controls; impersonate others; harass users; or interfere with service integrity and availability.
User Content and License Grant
Charts, annotations, and related content you create remain your content. You grant BnC a worldwide, non-exclusive, royalty-free license to host, store, process, and display that content solely as needed to operate, maintain, improve, and provide NNS Pro. You represent that you have rights to submit the content and that your content does not violate third-party rights or applicable law.
Chart Sharing Program Terms
Chart sharing is optional and opt-in. If you share charts, you grant participating users a limited personal, non-commercial license to view and use those charts for study and rehearsal. Shared charts must be lawful and non-infringing. BnC may remove shared content that violates rights or policy, and cannot guarantee retroactive removal of copies cached or saved by other users before removal. Shared library availability, quality, and reciprocity are not guaranteed and may be changed or discontinued.
Intellectual Property
NNS Pro software, branding, and related materials are owned by BnC or its licensors and are protected by applicable intellectual property laws. Except for the limited license above, all rights are reserved. BnC does not claim ownership of the public-domain Nashville Numbering System method itself, but our implementation, interface, and code remain proprietary. Feedback you submit may be used by BnC without restriction or compensation.
Third-Party Services
NNS Pro may integrate with third-party platforms, including media providers and app marketplaces. BnC is not responsible for third-party services, content, or policies, which are governed by their own terms.
Payments and Store Purchases
If paid features are offered, billing and renewals may be handled by third-party app stores or processors under their terms. Refunds for digital goods are generally not available once content is accessed, except where required by law or in documented service-failure cases reviewed by BnC. You are responsible for applicable taxes, duties, or levies associated with purchases.
DMCA and Copyright Complaints
If you believe content in NNS Pro infringes your copyright, send a notice to support@bnc-software.com with subject line "DMCA Takedown Notice" and include: authorized signature, identification of copyrighted work, identification/location of allegedly infringing material, contact information, good-faith statement, and accuracy/perjury statement. BnC may remove content and terminate repeat infringers.
Termination
We may suspend or terminate access to NNS Pro for violations of these terms, security risks, legal requirements, or misuse of the service. You may discontinue use at any time.
Disclaimer of Warranties
NNS Pro is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. BnC does not warrant uninterrupted operation, error-free performance, absence of harmful components, or accuracy/reliability of all outputs.
Limitation of Liability
To the maximum extent permitted by law, BnC and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of data, revenue, or profits arising from use of NNS Pro. BnC's total aggregate liability for claims related to these terms or the service is limited to the greater of fees you paid in the 12 months before the claim or $100 USD, except where such limitations are prohibited by applicable law.
Indemnification
You agree to defend, indemnify, and hold harmless BnC, its officers, employees, and affiliates from claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your misuse of the service, your content, your participation in chart sharing, your violation of these terms, or your violation of applicable law.
Dispute Resolution and Arbitration
Before formal proceedings, you agree to attempt informal resolution by contacting support@bnc-software.com with a written dispute summary and requested resolution, and allowing 30 days for good-faith resolution efforts. If unresolved, disputes will be resolved by binding individual arbitration under applicable AAA rules, except eligible small-claims matters. You and BnC waive class actions, representative actions, and jury trial rights to the fullest extent permitted by law. BnC may seek injunctive/equitable relief in court to protect intellectual property or confidential information.
Governing Law
These terms are governed by the laws of the State of Tennessee, United States, without regard to conflict-of-law principles, except where local law requires otherwise. For claims not subject to arbitration, you consent to personal jurisdiction and venue in state or federal courts located in Tennessee.
General Provisions
These terms, together with the Privacy Policy and feature-specific terms, form the entire agreement between you and BnC regarding NNS Pro and supersede prior agreements on the same subject. If any provision is held unenforceable, the remainder remains in effect. Failure to enforce any provision is not a waiver. You may not assign these terms without consent; BnC may assign them in connection with merger, acquisition, or sale of assets.
Changes to Terms
We may update these Terms of Use periodically. For material changes, we will provide notice (including posting updated terms with a new date and, where appropriate, email or in-app notice) at least 14 days before effectiveness. Continued use of NNS Pro after the effective date constitutes acceptance of the revised terms.
